“Do not start what you cannot control. Do not promise what you cannot finish.”

What began as a battle to reshape the hierarchy of Italian banking is becoming a contest for European financial power. Intesa is targeting MPS; Crédit Agricole has rejected the offer concerning its stake in Banco BPM; UniCredit is advancing its Commerzbank transaction. Generali and Banca Generali are becoming increasingly important in the competition for wealth management and long-term savings.

The first-order effect is the redistribution of banking assets. The second-order effect is the redistribution of European financial power.

The Decisive Questions

execution and control

  1. MPS's strategy faces two obstacles: shareholder approval and acquisition execution. Delfin has committed approximately 17.6% of MPS in support of Intesa; Caltagirone has declared opposition to the extraordinary resolutions. Crédit Agricole has refused to tender its 29.3% stake in Banco BPM.

MPS's extraordinary resolutions require two-thirds of the votes cast. Caltagirone's reported stakes of 10.26% and 13.49%, disclosed in different contexts, are not automatically equivalent in terms of voting rights exercisable on October 29. signal: Lovaglio must prove the independent strategy is worth more than Intesa's offer — without relying on transactions that have become less executable.

  2. Intesa's headline consideration is €1.25 in cash plus 1.6 Intesa shares for each MPS share. At an Intesa share price of €6.116, the indicative value is €11.0356 per MPS share, a spread of approximately 0.32% relative to €11.00, before adjustments, dividends, costs and risks. signal: Price convergence does not guarantee completion. Markets will reward capital productivity and profitable integration, not asset accumulation.

  3. The Meloni government has supported the creation of a stronger domestic banking competitor around MPS, but the eventual outcome may differ from its preferred architecture. UniCredit–Commerzbank is under review by the European Commission, while Germany retains both political and shareholder interests. ECB prudential supervision and EU antitrust assessment are separate processes. signal: Europe has common banking supervision, but not yet a fully integrated market for bank ownership and capital.

The Strategic Map

positions and intent

Intesa — Domestic Scale

Domestic scale, antitrust remedies and integration returns. Final transaction perimeter and integration costs still to be settled.

UniCredit — Continental Scale

The Commerzbank transaction under EU regulatory review amid German political resistance — the defining test of continental integration.

Crédit Agricole — Optionality

Having refused to tender its 29.3% Banco BPM stake, it preserves alternative ownership structures and strategic optionality.

Generali & Banca Generali — Long-Duration Savings

Governance and the distribution of savings. Insurance profitability and asset management define the relationship with long-term capital.

Unipol–BPER — Redistribution

Planned acquisition of 635 MPS branches, with financing and integration costs still to be assessed.

What to Watch

the calendar

Five Key Takeaways

the next phase

  • MPS is the catalyst, not the endgame.
  • Investors can distinguish genuine industrial integration from takeover defence.
  • Banco BPM, Generali and Banca Generali remain the strategic assets of the next phase.
  • UniCredit–Commerzbank is the defining test of Continental Scale.
  • Scale creates value only when returns exceed acquisition, integration and financing costs — and the next generation of European financial leadership will be determined by capital productivity.
